1. Acceptance of Terms
By accessing and using HeadlessStore's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
2. Description of Service
HeadlessStore provides custom headless e-commerce storefront development services, including but not limited to:
- Custom Next.js storefront development
- Shopify backend integration
- Sanity CMS implementation
- Performance optimization
- SEO implementation
- Ongoing maintenance and support
3. User Accounts
Account Creation
To access certain features of our service, you may be required to create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your account information
- Keep your password secure and confidential
- Accept responsibility for all activities under your account
Account Termination
We reserve the right to terminate or suspend accounts that violate these terms or engage in fraudulent activity.
4. Payment Terms
Project Payments
- Payment schedules are outlined in individual project agreements
- Typical payment structure: 50% upfront, 50% upon completion
- All payments are due within 30 days of invoice date
- Late payments may incur additional fees
Refund Policy
Refunds are handled on a case-by-case basis. Generally:
- Work completed cannot be refunded
- Cancellations before work begins may receive partial refunds
- Disputes will be resolved through good faith negotiation
5. Intellectual Property
Client Ownership
Upon full payment, clients own:
- Custom code developed specifically for their project
- Design assets created for their brand
- Content and data they provide
Our Ownership
We retain ownership of:
- General methodologies and processes
- Reusable code components and frameworks
- Our proprietary tools and systems
6. Service Limitations
Availability
While we strive for 99.9% uptime, we cannot guarantee uninterrupted service availability. Scheduled maintenance will be communicated in advance.
Support
Support is provided during business hours (9 AM - 6 PM PST, Monday-Friday). Emergency support may be available for critical issues.
7. User Responsibilities
You agree to:
- Provide timely feedback and approvals
- Supply necessary content and assets
- Maintain backup copies of your data
- Keep your systems and passwords secure
- Comply with all applicable laws and regulations
8. Prohibited Uses
You may not use our services for:
- Illegal activities or content
- Spam or unsolicited communications
- Malware distribution or hacking attempts
- Copyright or trademark infringement
- Adult content or gambling services
- Hate speech or discriminatory content
9. Limitation of Liability
To the maximum extent permitted by law:
- Our liability is limited to the amount paid for services
- We are not liable for indirect or consequential damages
- We do not guarantee specific business outcomes
- Third-party service failures are not our responsibility

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting. Continued use of our services constitutes acceptance of modified terms.
14. Termination
Either party may terminate services with 30 days written notice. Upon termination:
- All outstanding payments become due immediately
- Access to our systems will be revoked
- Data export assistance will be provided for 30 days
15. Governing Law
These terms are governed by the laws of California, United States. Any disputes will be resolved in the courts of San Francisco County, California.
16. Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
